# Local IT, LLC - QuickBooks Online Integration Legal Documentation
This document contains the complete, production-ready, Intuit-compliant **End-User License Agreement (EULA)** and **Privacy Policy** for your QuickBooks Online Sovereign Ingestion App (**"Nano Banana"**). # PART 1: END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement ("EULA" or "Agreement") is a binding legal agreement between you (either an individual or a single entity, "User" or "Licensee") and **Local IT, LLC**, an Alabama limited liability company ("Local IT", "Licensor", "We", or "Us"), governing your use of the "Nano Banana" QuickBooks Online Ingestion App, including any associated offline scripts, tools, and local database connectors (collectively, the "Software" or "App").

BY INSTALLING, CONFIGURING, AUTHORIZING OR RUNNING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL, USE, OR INGEST DATA WITH THE SOFTWARE.

### 1. License Grant
Local IT grants you a non-exclusive, non-transferable, limited, revocable license to install and execute the Software on host computer systems under your direct ownership and control, solely for your internal business operations and knowledge graph processing.

### 2. Intellectual Property & Ownership
The Software is licensed, not sold. Local IT retains all right, title, and interest in and to the Software, including all copyrights, trade secrets, patents, and other intellectual property rights. You shall not reverse-engineer, decompile, de-serialize, modify, or resell the Software.

### 3. QuickBooks Online (QBO) API Integration & Authorization
*   **OAuth 2.0 Exchange:** The Software integrates with Intuit’s QuickBooks Online API via secure OAuth 2.0 protocols. To function, you must explicitly authorize the Software to access your QuickBooks company data.
*   **Credential Responsibility:** You are solely responsible for maintaining the confidentiality of your QuickBooks Developer Client IDs, secrets, and bearer tokens.
*   **No Interference:** You agree not to use the Software in any way that violates Intuit’s Developer Terms of Service, or exceeds standard API rate limit thresholds.

### 4. Data Sovereignty & Customer Custody
*   **Local-First Processing:** The Software is designed under a "Sovereign Local-First" model. All data fetched from your QuickBooks Online account (customers, invoices, payments, and sales items) is compiled, structured, and committed strictly into a local offline SQLite ledger and Neo4j graph database under your sole ownership, control, and custody.
*   **Zero Third-Party SaaS Exposure:** No data extracted from Intuit's servers is transmitted, mirrored, or leaked to external SaaS databases or third-party cloud analytics systems.

### 5. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCAL IT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

### 6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOCAL IT, LLC BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS PROFITS, DATA CORRUPTION, OR SYSTEM DOWNTIME) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

### 7. Termination
This license is effective until terminated. You may terminate it at any time by deleting the Software, its configuration environment, and your local `qbo_token.json` file. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms.

### 8. Governing Law
This Agreement shall be governed by, and construed in accordance with, the laws of the **State of Alabama**, without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Baldwin County, Alabama.

# PART 2: PRIVACY POLICY

At **Local IT, LLC** ("Local IT", "We", "Us", or "Our"), we are fundamentally committed to data sovereignty, user privacy, and absolute security. This Privacy Policy describes how the "Nano Banana" QuickBooks Online Ingestion App (the "App") retrieves, processes, and protects your financial metadata when you authorize its connection to your QuickBooks Online account.

### 1. Information We Retrieve (The Ingested Dataset)
To build your localized business relationship Knowledge Graph, the App utilizes official QuickBooks Online APIs to securely query and fetch the following financial and customer metadata:
*   **Customer Records:** Customer names, business email addresses, contact phone numbers, current balances, and geographical bill-to city and state codes.
*   **Invoices & Lines:** Invoice document numbers, transaction dates, due dates, total amounts, balance states, and line-item sales descriptions.
*   **Payments Data:** Payment transaction dates, payment methods used, applied dollar amounts, and invoice allocation links.

### 2. How We Use and Process Information
The retrieved financial metadata is utilized solely for your private, internal business intelligence:
*   To perform high-fidelity client-company entity resolution.
*   To reconstruct a private, localized Knowledge Graph of corporate connections in Neo4j.
*   To identify operational billing gaps, contract leakage, and software license spillage.
*   To compile bi-daily strategic and operational administrative status reports.

### 3. Absolute Sovereign AI Guarantee (Data Isolation)
Unlike conventional SaaS cloud integrations, **we enforce a strict Local-First data mandate:**
*   **Offline LLM Compute:** 100% of your financial metadata is processed offline utilizing your own local system compute resources (Ollama with Gemma models) and your secure local Neo4j desktop instance.
*   **No Cloud AI Transmission:** Under no circumstances does this App transmit, upload, or expose your QuickBooks data to any external cloud-based AI service (such as OpenAI, Anthropic, or external SaaS networks).
*   **No Sale or Leasing of Data:** We do not lease, rent, share, trade, or sell your QuickBooks data to any advertisers, marketing firms, or external companies. Your data remains 100% in your custody.

### 4. Data Security & Storage
*   **Secure Local Storage:** All downloaded metadata, tokens, and mapping rules are saved locally on your secure host machine (`LIT-AI-AF`) in an encrypted or restricted SQLite database file (`sync_state.db`) and local JSON configuration directories.
*   **Encrypted API Channels:** All communications with Intuit’s API endpoints are encrypted in transit using industry-standard TLS (HTTPS) protocols.
*   **OAuth 2.0 Security:** The App accesses Intuit's servers using revocable OAuth 2.0 bearer tokens. Under no circumstances does the App store, read, or request your raw Intuit account passwords.

### 5. Data Access & Deletion Control (Your Rights)
Because you maintain 100% custody of the local host environment, you can purge, erase, or completely reset your ingested QuickBooks data at any time:
1.  Deleting the local token file (`~/gemma-kg-builder/qbo_token.json`) instantly revokes the API session.
2.  Executing a standard Neo4j query (`MATCH (n:QBOInvoice),(c:QBOCustomer),(p:QBOPayment) DETACH DELETE n, c, p`) instantly purges all QuickBooks data from your local Knowledge Graph.
